Snowflake is looking for Corporate Counsel or Senior Corporate Counsel (depending on level of experience) to join our Corporate Legal team. This role offers the opportunity to be at the heart of Snowflake's public company legal function, supporting ‘34 Act reporting, corporate governance, securities law compliance and equity compensation matters. This is an in-person role based in Menlo Park, CA or Dublin, CA, reporting to our Director, Assistant General Counsel - Corporate and Securities.
What You’ll Do
Assist with the preparation and review of periodic reports, current reports and proxy statements, including the maintenance of disclosure controls and procedures.
Support all aspects of corporate governance, including maintaining the governance calendar, preparing materials for the board and committee meetings, and driving the annual shareholder meeting process.
Support insider trading law compliance, Section 16 reporting and 10b5-1 plan administration.
Assist with equity plan administration and compliance with equity award plans (US and international).
Maintain and ensure compliance with corporate policies, including the Related Party Transactions Policy, Insider Trading Policy, and 10b5-1 trading plan program.
Assist generally with public company securities laws compliance, including the 1933 Act, 1934 Act, 1940 Act and Hart Scott Rodino Act.
Support cross-functional initiatives relating to investor relations, governance, financing, compliance and international expansion.
About You
4+ years of public company legal experience, ideally at a law firm and in-house.
Experience with public company reporting including the preparation of periodic reports, proxy statements, Section 16 reports and registration statements.
Experience maintaining a governance calendar for a public company board and its committees.
Ability to understand and clearly explain complicated and nuanced issues.
Highly responsive, with excellent organizational skills and attention to detail.
Eager to jump in, take ownership and deliver excellent legal support in an extremely fast-paced environment.
J.D. from an accredited law school; active membership in good standing in California.
